These Terms govern your use of the CxPlan website and service, operated by Total Package Services Ltd ("we", "us", "our"), 36 The Hawthorns, Aylesford, Kent, United Kingdom, ME20 7LJ.
Acceptance
By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service. You confirm you are of legal age and, if using the service on behalf of an organisation, have authority to bind that organisation.
Accounts
You must provide accurate information, keep your credentials secure, and keep your account information up to date. You are responsible for all activity on your account.
Acceptable use
You agree not to misuse the service, including: no unlawful content or activity, no fraud or spam, no infringement of third-party intellectual property, no attempts to interfere with security (malware, probing, scraping), no reverse engineering, no resale or redistribution, and no use that disrupts the service for others.
Licence
We grant you a limited, non-exclusive, non-transferable right to use CxPlan within the plan you have subscribed to, for your own internal business purposes.
Intellectual property
The CxPlan site, branding and software are owned by Total Package Services Ltd and its licensors. You retain ownership of the project data you upload; you grant us a limited licence to host and process that data solely to provide the service to you.
Payment, subscriptions and Merchant of Record
Our order process is conducted by our online reseller Paddle.com Market Ltd ("Paddle"). Paddle is the Merchant of Record for all our orders. Paddle handles the sale of subscriptions, payment processing, invoicing, sales tax/VAT, subscription renewals, cancellations, and refunds, and provides customer service in relation to those matters. Your purchase is also subject to Paddle's Buyer Terms and Refund Policy. Subscriptions renew automatically at the end of each billing period until cancelled. You can manage or cancel your subscription from your account billing area or via paddle.net.
Refunds
Refunds are governed by our Refund Policy and by Paddle's Refund Policy. To request a refund, contact us via the Contact page or via paddle.net.
Service availability
We aim for high availability but do not guarantee uninterrupted or error-free service. Planned maintenance will be communicated where reasonably possible.
Disclaimers
The service is provided "as is". To the extent permitted by law, we exclude all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the service is limited to the fees you have paid in the 12 months preceding the claim. We are not liable for indirect, consequential or special loss, including loss of profits, business, goodwill or data. Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
Indemnity
You will indemnify us against claims arising from your content, your unlawful use of the service, or your breach of these Terms.
Suspension and termination
We may suspend or close accounts for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may close your account at any time. On termination, you may request an export of your project data for a reasonable period before it is deleted.
Changes
We may update these Terms; material changes will be notified via the site or by email.
Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer protection laws of your country of residence.
